These Terms of Use ("Terms") form a legally binding agreement between Nexio Systems ("Nexio," "we," "us," "our") and you ("you," "your," "User") governing your access to and use of our website at https://nexiosys.com (the "Website"), including any subdomains, pages, and content we operate.

By accessing or using the Website, you agree to these Terms. If you do not agree, do not use the Website.

1) Who these Terms apply to

These Terms apply to all Website visitors and Users. If you engage Nexio for paid services (e.g., web design/development, AI solutions), those services are governed by a separate written agreement (e.g., proposal, SOW, MSA) in addition to these Terms.

2) Intellectual Property

Unless stated otherwise, the Website and all content on it—such as text, graphics, layout, UI, logos, designs, code snippets, videos, and other materials ("Content")—are owned by or licensed to Nexio and protected by applicable intellectual property laws.

You may view and use the Website for your personal or internal business purposes. You must not copy, reproduce, modify, distribute, sell, license, reverse engineer, or exploit any part of the Website or Content without our prior written consent, except where permitted by law.

3) Portfolio & showcasing work

If you become a Nexio client, we may display non-confidential aspects of the work we deliver for you (e.g., screenshots, a link to a live site, a short case study) in our portfolio and marketing unless:

you and Nexio have signed an NDA that prohibits it, or
we agree in writing that the project is confidential.

We will not publish your confidential information (including unreleased product details, credentials, or sensitive business information).

4) Third-party services, links, and fonts

The Website may include links to third-party websites or services (e.g., analytics, hosting, embedded tools). We do not control and are not responsible for third-party content, policies, or practices. Your use of third-party services is at your own risk.

If a client project uses third-party fonts, plugins, or assets that require a paid/commercial license, we may notify you, and you are responsible for purchasing/maintaining those licenses unless your written service agreement says otherwise.

5) Acceptable use

You agree not to:

use the Website for unlawful, harmful, fraudulent, or misleading purposes;
attempt to gain unauthorized access to the Website, servers, or related systems;
interfere with or disrupt Website performance (including by introducing malware, scraping, or abuse);
use automated means (bots, scrapers) to access the Website without our permission;
remove or alter any legal notices, copyright, or branding.

We may suspend or block access to the Website if we reasonably believe you are violating these Terms or misusing the Website.

By using the Website, you acknowledge that your information may be processed in countries where Nexio and its service providers operate (which may include the United States and Australia), depending on hosting, analytics, and operational needs.

9) Disclaimers

The Website is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, Nexio disclaims all warranties—express, implied, or statutory—including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Website will be uninterrupted, secure, error-free, or free of viruses or harmful components.

10) Limitation of liability

To the maximum extent permitted by law:

Nexio will not be liable for any indirect, incidental, special, consequential, or punitive damages (including loss of profits, revenue, business, data, or goodwill) arising out of or related to your use of the Website.
Nexio's total liability for any claim relating to the Website will not exceed AUD $100 (or the equivalent in your local currency), unless a greater amount is required by law.

Some jurisdictions (including Australia) do not allow certain exclusions or limitations, so these may not apply to you to the extent prohibited by law.

11) Indemnity

To the maximum extent permitted by law, you agree to indemnify and hold harmless Nexio from claims, damages, liabilities, losses, and expenses (including reasonable legal fees) arising from:

15) Miscellaneous

Severability: If any part of these Terms is unenforceable, the remainder remains in effect.
No waiver: Our failure to enforce any right is not a waiver of that right.
Entire agreement: These Terms and any policies referenced form the entire agreement regarding Website use.
